<br />be disbursed as requested by the Redwood City 2020 Executive Director in <br />writing, subject to City administrative procedures. <br />b. At no time shall the City be under any obligation to disburse money <br />to Redwood City 2020 in excess of the amount on deposit. The Cabinet <br />acknowledges that money received by the City will not be available for <br />disbursement for three (3) business days after the funds have been deposited by <br />City, or for a longer period, as deemed appropriate by City's Finance Director. <br /> <br />6. Hold Harmless. The County of San Mateo ("indemnitor") hereby agrees to <br />defend, indemnify, and save harmless each partner organization of the Redwood City <br />2020 collaborative and its respective governing board, council, officers, boards <br />commissions, agents, and employees (collectively, "Indemnitees") against and from any <br />and all claims, suits, actions of every name, kind and description, which may be brought <br />against Indemnitees, or any of them, by reason of any injury to, or death of, any person <br />(including corporations, partnerships and associations) or damage suffered or sustained <br />by any such person arising from the willful misconduct or any negligent act or omission <br />of the County of San Mateo, any subcontractor, anyone directly or indirectly employed <br />by any of them or anyone for whose acts any of them may be liable, except to the extent <br />caused by the active negligence, sole negligence, or willful misconduct of any partner <br />organization of the Redwood City 2020 collaborative. <br /> <br />7. Acts and Omissions of Executive Director. The acts and omissions of the <br />Executive Director or any other employees, agents or volunteers acting on behalf of <br />Redwood City 2020 shall not in any way be construed as the acts and omissions of the <br />City but shall be deemed as the acts and omissions of the Parties acting jointly. <br /> <br />8. Notices.
