If this Order Form is not <br />executed by Company by the Validity Date, Trimble reserves the right to not offer the pricing <br />found in the Order Form. <br />Miscellaneous: Company is purchasing the below products on behalf of the Customer identified above. <br />Customer will have the number of Authorized Users for the Products as set forth below. Usage <br />by the Company and Customer of the below Products is limited to the instance which is specific <br />to the Customer and services provided by Company on behalf of the Customer. The term <br />“Authorized Users” and any referenced thereto under this Agreement shall include both the <br />Company and the Customer. <br />In the event any amount due hereunder is more than thirty (30) days past due, Trimble will <br />contact Customer to arrange payment and/or contract directly with Customer for any Trimble <br />Products or Services, including those listed herein. Company shall not be entitled to payment of <br />any fees, lost revenue, or any other damages in the event Trimble arranges payment or contracts <br />directly with the Customer as set forth herein. <br />Upon the Customer’s written election, Company consents to the assignment of this Order Form <br />from Company to Customer. No other consent from Company will be required. <br />Notwithstanding the incorporation of certain terms and conditions from Company’s contract <br />with Customer (the “Prime Agreement”) pursuant to Addendum 3, the following sections of the <br />ATTY/AGR.2024/Amend.
