ATTY/AGR/2023.099/ADDENDUM TO SECOND AMENDED & RESTATED SAN CARLOS FIRE AGREEMENT <br />REV: 05-16-23 VR <br />Page 1 of 3 <br />ADDENDUM TO SECOND AMENDED AND RESTATED AGREEMENT <br />BETWEEN CITIES OF REDWOOD CITY AND SAN CARLOS <br />FOR FIRE & EMERGENCY SERVICES <br /> <br />This Addendum to Second Amended and Restated Agreement between Cities of <br />Redwood City and San Carlos for Fire and Emergency Services (“Addendum”) dated for <br />informational purposes as of May 22, 2023, by and between the City of Redwood City, a <br />charter city and municipal corporation of the State of California (“Redwood City”), and <br />the City of San Carlos, a municipal corporation (“San Carlos”), collectively “Participating <br />Agencies.” <br />RECITALS <br /> <br />WHEREAS, Redwood City and San Carlos entered into that certain Second <br />Amended and Restated Agreement between Cities of Redwood City and San Carlos for <br />Fire and Emergency Services dated May 18, 2018 for the delivery of certain fire and <br />emergency services (“Agreement”); and <br /> <br />WHEREAS, the Term of the Agreement expires on June 30, 2023 (“Expiration <br />Date”); and <br /> <br />WHEREAS, the Participating Agencies desire to negotiate and reach agreement <br />on the terms and conditions of an extension agreement; and <br /> <br />WHEREAS, it has become apparent to the Participating Agencies that the <br />discussion will continue beyond the current Term’s Expiration Date; and <br /> <br />WHEREAS, the Participating Agencies believe it is in the best interest of both <br />Participating Agencies to provide sufficient time to negotiate and reach mutual <br />agreement on extension terms for continued Fire and Emergency Services and if <br />unsuccessful provide for the orderly transition of Fire and Emergency Services; and <br /> <br />WHEREAS, the Participating Agencies desire to extend the Agreement by six (6) <br />months with an “Extended Expiration Date” of December 31, 2023, as more fully set <br />forth herein. <br />AGREEMENT <br /> <br />NOW THEREFORE, the Participating Agencies, for and in consideration of the <br />mutual benefits, covenants and agreements set forth herein, agree as follows: <br /> <br />1. Recitals; Capitalized Terms. The foregoing recitals are incorporated by <br />reference into this Second Amendment. Capitalized terms used herein and not <br />otherwise defined shall have the meanings given to such terms in the Agreement. <br /> <br />2. Extension of Term. The term of the Agreement as set forth in Section 6 <br />thereof is hereby extended for six (6) months through December 31, 2023 (“Extended <br />Expiration Date”) and shall expire on the Extended Expiration Date.
