The headings of the various paragraphs of this Agreement have been included only to make it easier to locate the subject covered by each provision, and they shall not be considered to be part of this Agreement for purposes of its construction or interpretation. 18) Additional Action; Further Assurances. Each Party agrees to execute additional documents and to take further action which reasonably may be required to consummate or fulfill the terms of this Agreement. 19) Electronic Signatures. The Parties agree that electronic signatures may be used in place of original signatures on this Agreement. Each Party intends to be bound by the signatures on the electronic document, is aware that the other Parties will rely on the electronic signatures, and hereby waives any defenses to the enforcement of the terms of this Agreement based on the use of an electronic signature. After all Parties agree to the use of electronic signatures, all Parties must sign the document electronically. 20) Completeness of Agreement. This Agreement constitutes the complete and entire agreement and understanding between Westpoint and City regarding the subject hereof. Any prior or contemporaneous agreements, negotiations, correspondence, proposals, documents, written or oral communications, and/or any written or oral understandings between or among Westpoint and City regarding the subject of this Agreement are superseded hereby. Each of the Parties represents and warrants that this Agreement is executed without reliance on any statement, promise, or representation of fact or opinion by anyone except as expressly set forth in this Agreement.
