REV: 07-14-2023 RL <br />THE REVOCABLE LICENSE AGREEMENT <br />BETWEEN THE CITY OF REDWOOD CITY <br />AND <br />THE REDWOOD CITY DOWNTOWN BUSINESS GROUP FOR <br />A CERTIFIED FARMERS MARKET AT THE COURTHOUSE SQUARE <br />IN REDWOOD CITY <br />THIS REVOCABLE LICENSE AGREEMENT (“Agreement”) is made and <br />entered into as of January 1, 2024 (“Effective Date”), by and between the CITY OF <br />REDWOOD CITY (“City”), a California charter city and municipal corporation, and The <br />Redwood City Downtown Business Group (“Licensee”), a California non-profit <br />corporation. <br />RECITALS <br />A. Licensee desires to organize, operate, maintain and manage a Certified <br />Farmers’ Market in City on property owned and maintained by City for the benefit of and <br />use by members of the general public. <br />B. City desires to allow such use by Licensee, provided that the public health, <br />safety and welfare are not thereby impinged, diminished or adversely affected. <br />NOW, THEREFORE, in consideration of the recitals and mutual obligations <br />contained herein, City and Licensee agree as follows: <br />1. Nature of Agreement. The nature of the right granted by City to Licensee is <br />that of a revocable license and not a permit nor a lease. No property right is granted <br />hereby; notwithstanding the foregoing, Licensee hereby knowingly waives and relin- <br />quishes any rights it may have or claim to have pursuant to California Government <br />Code Sections 7260 through 7277. <br />2. License Area. The real property permitted to be used under this Agreement <br />is the Courthouse Square (“Square”), located in front of the historic San Mateo County <br />Courthouse, at 2200 Broadway, Redwood City, California (“Farmers’ Market Area”). <br />The Farmers’ Market Area is more particularly described in Exhibit “A-1”, attached <br />hereto and incorporated herein by reference. Licensee’s use of the Farmers’ Market <br />Area shall be in accordance with the Site Plan attached hereto as Exhibit “A-2” and <br />incorporated herein by reference. As provided in Section 5 below, the City, in is sole <br />discretion, may require Licensee to hold any farmers’ market event at an alternate <br />location on Broadway between Middlefield Road and Hamilton Avenue (“Alternate <br />Farmers’ Market Area”). The Alternate Farmers’ Market Area is more particularly <br />described in Exhibit “A-3”, attached hereto and incorporated herein by reference. <br />Licensee’s use of the Alternate Farmers’ Market Area shall be in accordance with the <br />Alternate Site Plan, attached hereto as Exhibit “A-4” and incorporated herein by <br />reference.
