REV: 09-07-23 SK AMENDMENT NO. 1 TO AGREEMENT FOR SERVICES (Alisto Engineering Group, Inc.) This Amendment No. 1 (the “Amendment No. 1”) is entered into and effective as of ____________, 2023 (“Amendment No. 1 Effective Date”), by and between the City of Redwood City, a charter city and municipal corporation of the State of California (“City”), and Alisto Engineering Group, Inc., a California corporation (“Consultant”) (collectively, the “Parties”). RECITALS A. The Parties previously executed that certain on-call services agreement titled Agreement for Services, dated as of October 1, 2021, (the “Original Agreement”) (the Original Agreement and this Amendment No. 1 are collectively known as the “Agreement”). B. The Parties have negotiated and agreed to the terms and conditions set forth in this Amendment No. 1, including any terms and conditions of the attached Exhibit A-1, incorporated herein by reference. NOW, THEREFORE, in consideration of these recitals and the mutual covenants contained herein, the Parties agree as follows: 1. City will pay Consultant an additional not-to-exceed amount of Twenty Two Thousand Three Hundred Fifty Six Dollars ($22,356) for the completion of all the services described in Exhibit “A” of the Original Agreement, which sum will include all costs or expenses incurred by Consultant, and as of the Amendment No. 1 Effective Date, Consultant shall be paid based on the revised Fee Schedule and Budget Allocation attached hereto as Exhibit “A-1”. The Fee Schedule and Budget Allocation in Exhibit “A” (Scope of Service and Fee) of the Original Agreement is replaced in its entirety with the attached Exhibit “A-1”. Including this Amendment No. 1, the total amount payable under the Agreement will be a not-to-exceed amount of Sixty-Eight Thousand Six Hundred Fifty- One Dollars ($68,651). 2. Unless terminated earlier, the term of this Amendment No. 1 will be a period of two years from the Amendment No. 1 Effective Date. Including this Amendment No. 1, the total term of this Agreement is four years from the Effective Date of the Original Agreement. 3. All other provisions of the Agreement will remain in full force and effect. 4. All requisite insurance policies to be maintained by Consultant pursuant to the Agreement will include coverage for this Amendment No. 1. 5. The individuals executing this Amendment No. 1 and the instruments referenced in it on behalf of Consultant each represent and warrant that they have the ATTY/AGR.2023/Amend.
