REV: 08-24-23 VR <br />all state, federal, grant and tax requirements, which is the CONTRACTOR’S sole <br />responsibility. <br />If the BRSSD fails to receive full anticipated payment from “ELOP” the BRRSD shall send <br />an invoice to the CONTRACTOR for the difference in funding due to any student <br />attendance shortfall. Contractor shall reimburse this amount to the BRSSD within thirty <br />(30) days of receipts. Of the invoice from the BRSSD. <br />5. EQUIPMENT AND MATERIALS <br />The CONTRACTOR shall provide all equipment, materials, and supplies necessary to <br />perform the academic and enrichment services for the BRSSD. <br />6. USE Of SUBCONTRACTORS <br />The CONTRACTOR shall not assign this Agreement or a portion thereof to a third party <br />without the prior written consent of the BRRSD. CONTRACTOR will have a fully <br />executed contract with The City of Redwood City to reflect the partnership between <br />agencies at Sandpiper School. CONTRACTOR will share the agreement with BRSSD and <br />get consent from families. <br />7. LICENSES AND PERMIT <br />The CONTRACTOR shall obtain and keep in force all licenses, permits, and certificates <br />necessary for the performance of this Agreement. <br />8. COMPLIANCE WITH STATE, FEDERAL, AND LOCAL LAWS, REGULATIONS, <br />AND ORDINANCES: <br />The CONTRACTOR and all subcontractors shall ensure compliance with all state, federal <br />and local laws or rules applicable to the performance of the work required under this <br />Agreement and shall execute all necessary certifications of compliance therewith. <br />9.RELATIONSHIP OF THE PARTIES <br />The CONTRACTOR agrees and understands that the work/services performed under this <br />Agreement are performed as an independent contractor and not as an employee of the <br />BRRSD and that CONTRACTOR acquires none of the rights, privileges, powers or <br />advantages of BRRSD employees. <br />10.WORKERS’ COMPENSATION INSURANCE <br />The CONTRACTOR shall have in effect during the entire term of this Agreement workers’ <br />compensation and employer liability insurance providing full statutory coverage. <br />ATTY/AGR.2023.218/Belmont Redwood Shores School District (Extended Day Academic and Enrichment Service) (Page 2 of 5)
