REV: 12-22-23 SK EXHIBIT “A-1” TASK ORDER TASK ORDER NO. ___ TO AGREEMENT FOR SERVICES This Task Order No. ___ (“Task Order”) is made and entered into by and between the CITY OF REDWOOD CITY, a charter city and municipal corporation of the State of California (“City”), and EXARO TECHNOLOGIES CORPORATION, a California Corporation (“Consultant”). RECITALS A.City and Consultant entered into an agreement entitled Agreement for Services (“Agreement”), by which the Consultant agreed to perform services in accordance with Task Orders issued by the City. NOW, THEREFORE, THE PARTIES HEREBY AGREE AS FOLLOWS: 1. INCORPORATION BY REFERENCE. This Task Order hereby incorporates by reference all terms and conditions set forth in the Agreement. 2. SCOPE OF TASK ORDER. Consultant will perform the services described in Attachment “A”, attached hereto and incorporated herein by reference, in accordance with the terms and conditions of the Agreement. For purposes of this Task Order, the City’s Project Manager will be ______________. 3. PAYMENT. For services performed by Consultant in accordance with this Task Order, City will compensate Consultant in accordance with the terms and conditions of the Agreement, in an amount not to exceed [write out amount in words] dollars ($_____). 4. AUTHORITY. The individuals executing this Task Order and the instruments referenced in it on behalf of Consultant each represent and warrant that they have the legal power, right and actual authority to bind Consultant to the terms and conditions of this Task Order.
