REV: 03-22-24 MI AMENDMENT NO. 1 TO AGREEMENT FOR HOTEL ACCOMODATIONS FOR PARTICIPANTS IN REDWOOD CITY HOTEL RESPITE PROGRAM (Pacific Pyramid Group, Inc. dba Days Inn) This Amendment No. 1 (the “Amendment No. 1”) is entered into and effective as of ______________, 2024, by and between the City of Redwood City, a charter city and municipal corporation of the State of California (“City”), and Pacific Pyramid Group, Inc. dba Days Inn, a California corporation (“Hotel”) (collectively, the “Parties”). RECITALS A. The Parties previously executed that certain Agreement for Hotel Accommodations for Participants in Redwood City Hotel Respite Program, dated as of December 22, 2023, (the “Agreement”). B. The Parties have negotiated and agreed to the terms and conditions set forth in this Amendment No. 1 incorporated herein by reference. NOW, THEREFORE, in consideration of these recitals and the mutual covenants contained herein, the Parties agree as follows: 1. Advance payment. City will pay to Hotel an additional advance payment of no more than One Hundred Thousand Dollars ($100,000) in increments of no more than Fifty Thousand Dollars ($50,000) at a time. Hotel shall draw funds from the advance payment for each approved hotel stay. Hotel will provide statements and receipts to City on a monthly basis. Including all amendments through Amendment No. 1, the total amount payable under the Agreement will be a not-to-exceed amount of Three Hundred Thousand Dollars ($300,000). 2. Contingent upon sufficient available funding, the City Manager may amend the Agreement to provide for three additional advanced payments in an amount not to exceed One Hundred Thousand Dollars ($100,000) per extension term. Any such extension will require a written amendment executed by both parties indicating the effective date of the Agreement. 3. All other provisions of the Agreement will remain in full force and effect. 4. All requisite insurance policies to be maintained by Consultant pursuant to the Agreement will include coverage for this Amendment No. 1. 5. The individuals executing this Amendment No. 1 and the instruments referenced in it on behalf of Consultant each represent and warrant that they have the legal power, right and actual authority to bind Consultant to the terms and conditions of this Amendment No. 1.
