REV: 12-08-23 MI <br />specified in Exhibit “A.” Grantee will at all times observe and comply with these laws, <br />ordinances, and regulations and will be responsible for the compliance with all applicable <br />laws, ordinances and regulations. <br />7. Discrimination and Harassment Prohibited. Grantee will comply with all <br />applicable local, state and federal laws and regulations prohibiting discrimination and <br />harassment. <br />8. Termination. If Grantee fails to comply in any substantial or material respect <br />with the terms or conditions of this Grant Agreement, and if Grantee does not cure the <br />default within five (5) days of the Grantor providing written notice specifying the nature of <br />the failure, the Grantor may terminate this Grant Agreement. Should Grantor determine <br />that the termination of this Grant Agreement is required, Grantor shall forward a written <br />notice of such determination to Grantee at least thirty (30) days prior to the effective date <br />of such termination. Grantee shall return all funds unexpended as of the termination date. <br />9. Notices. Any and all notices permitted or required to be given hereunder <br />shall be deemed duly given upon 1) actual delivery, if delivery is by hand; or 2) delivery <br />into the United States mail if delivery is by postage paid registered or certified (return <br />receipt requested) mail. Successors and Assigns. It is mutually understood and agreed that this <br />Grant Agreement will be binding upon the Parties and their respective successors. This <br />Grant Agreement may not be assigned by Grantee without the prior consent of Grantor. <br />11. Paragraph Headings. Paragraph headings as used herein are for <br />convenience only and will not be deemed to be a part of such paragraphs and will not be <br />construed to change the meaning thereof. <br />12. Jurisdiction and Venue. Any action at law or in equity brought by either of <br />the Parties for the purpose of enforcing a right or rights provided for by this Agreement <br />will be tried in a court of competent jurisdiction in the County of San Mateo, State of <br />ATTY/AGR.2023.298/PAL (Grant Agreement) (Page 4 of 7)
