REV: 10-31-23 MI <br />EXHIBIT “A” <br />SCOPE OF SERVICES <br />The City Attorney requires the services of an outside expert to evaluate the City’s solid <br />waste franchise fee. Consultant’s solid waste franchise fee study is intended to support <br />City Attorney’s evaluation of the fee. As such, Consultant’s services will be subject to <br />evidentiary protections under the attorney work product doctrine and/or attorney-client <br />privilege, and all writing communications should be appropriately marked to preserve <br />those protections. <br />Phase I: Methodology Development <br />Task 1a: Kick-off Meeting. Consultant shall facilitate a virtual project kick-off meeting with <br />all City stakeholders to the project. It is critical that all project team members are involved <br />in this initial meeting to review and agree on the scope and schedule for the process, the <br />roles of the various team members, responsibilities of various parties for information or <br />participation, confidentiality requirements, and to agree on critical success factors for the <br />project. This meeting will also be used to discuss initial thoughts from all team members <br />about approaches, risks, opportunities, and other relevant context that may impact the <br />project. <br />Task 1b: Methodology Development. Consultant shall facilitate a series of up to three <br />scoping and methodology definition meetings with the City Attorney’s office, outside <br />counsel, and relevant Public Works Services staff to present potential methodologies. <br />Meetings shall be virtual. Prior to the first meeting, Consultant shall develop options for <br />the valuation methodology using economic principles, methodologies used in other similar <br />settings (e.g., CPUC regulated water enterprises), and common business valuation <br />methodologies. Consultant shall facilitate the meetings in a manner that allows each <br />approach to be evaluated, critiqued, refined and revised between meetings, and brought <br />back to the group for further review in each successive meeting with a goal of arriving at <br />agreement on the approach by the end of the third meeting. It is also possible that more <br />than one approach will be selected for testing. Conducting multiple valuation analyses is <br />not included in the flat fee described in this agreement and would require use of <br />contingency funds, if desired. In addition, these meetings shall be used to review the <br />detailed methodology for performing the enterprise reimbursement study and that <br />approach shall be customized for any unique considerations of the City. <br />Task 1c: Request for Information. Consultant shall prepare a request for information (RFI) <br />that is needed to conduct the various analyses contemplated by this study. Consultant <br />shall segregate the RFI into sections for different responsible parties (e.g., legal, solid <br />waste, budget, etc.) based on the described roles in the Task 1a kick-off meeting. It will <br />also be the goal to gather all required information at the beginning of the project. However, <br />it is possible that Consultant may find additional data needs during the performance of <br />the analytical work and if that is the case, Consultant may issue a subsequent RFI or <br />contact a specific data provider for clarification or additional detail. <br />ATTY/AGR.2023.265/HF&H Consultants, LLC (Franchise Fee Study) (Page 11 of 14)
