REV: 06-24-22 RL <br />law. The Parties expressly consent and submit to the exclusive jurisdiction of the state and federal <br />courts of the state in which the Client is located. <br />7.7.Entire Agreement. This Agreement, together with all Orders referenced herein, sets forth the entire <br />understanding of the Parties with respect to the subject matter of this Agreement, and supersedes any <br />and all prior oral and written understandings, quotations, communications, and agreements. Granicus <br />and Client agree that any and all Orders are incorporated herein by this reference. In the event of <br />possible conflict or inconsistency between such documents, the conflict or inconsistency shall be <br />resolved by giving precedence in the following order: (1) the terms of this Agreement; (2) Orders; (3) <br />all other SOWs or other purchase documents; (4) Granicus response to Client’s request for RFI, RFP, <br />RFQ; and (5) Client’s RFI, RFP, RFQ. If Client issues a purchase order, Granicus hereby rejects any <br />additional or conflicting terms appearing on the purchase order or any other ordering materials <br />submitted by Client. <br />7.8.Reference. Notwithstanding any other terms to the contrary contained herein, Client grants Granicus <br />the right to use Client’s name and logo in Client lists and marketing materials. <br />7.9.Injunctive Relief.
