REV: 10-16-23 SK will be performed to the highest standards provided for projects of a similar or like nature in the San Francisco Bay Area, as determined by City’s Human Services Manager. Without limiting the generality of Contractor’s obligations pursuant to Section 14, Contractor will be responsible for, and hold City harmless from, any failure to adhere to such standards. Contractor will verify that all activities funded hereunder benefit only residents within City’s corporate limits. Contractor’s commitment to hold City harmless pursuant to this Section 5 shall survive the expiration or termination of this Agreement. 6. MID-YEAR AND ANNUAL REPORTS. Contractor shall submit to City’s Human Services Coordinator a mid-year and an annual program report documenting Contractor’s success in meeting the Program objectives referenced in Section 2. The mid- year program report is due on January 31, 2024. The annual program report is due on July 31, 2024. If Contractor shall fail to submit its report on a timely basis, City may disqualify Contractor from applying for future funding. Annual program report shall also include an expenditure report and the total number of direct beneficiaries with demographic information regarding income, household composition, ethnicity, age and other data as required by City and shall be submitted on forms provided by City’s Human Services Coordinator. In the event that the Contractor has not expended all of the funds granted, Contractor shall return by check to the City the amount not spent. 7. FINANCIAL STATEMENT/ANALYSIS; AUDIT. Contractor shall make available to City, or the public, upon request, a financial statement and analysis (“Financial Statement”) setting forth in detail the manner in which, and the specific purposes for which, the funds paid hereunder were expended to the date of such accounting. In addition to the foregoing, and in any event, Contractor shall submit to City no later than July 31, 2024, a copy of the agency or Program’s Financial Statement. Said statement will be submitted with the annual report pursuant to Section 6. Contractor will provide City with an annual independent audit of its activities and finances, conducted in accordance with generally accepted auditing standards covering financial and compliance audits and in accordance with any federal or state auditing standards applicable to Contractor, including, without limitation, the Single Audit Act of 1984 and OMB Circular A-110, and OMB Circular A-122. Audits shall be submitted to the City with the annual report pursuant to Section 6. 8. TERMINATION. Either party may terminate this Agreement without cause at any time during the term hereof by giving the other party not less than thirty (30) days’ prior written notice of such termination. In the event of such termination, Contractor will submit a final report for any expenditure incurred prior to the date of termination. Contractor shall submit to City a final report of activities funded hereunder within thirty (30) days from the date of termination. Contractor shall also return to City any and all unexpended funds as of the date of termination, within thirty (30) days from the date of termination. Nothing contained in this Section 8 shall be deemed to limit the right of the Parties to terminate this Agreement for cause or otherwise to exercise any right or pursue any ATTY/AGR.2023.257/Service League of San Mateo County (Service League of San Mateo County) (Page 2 of 10)
