REV: 04-05-24 LF <br />EXHIBIT “A” <br />SCOPE OF SERVICES, PAYMENT TERMS AND INSURANCE <br />I. SCOPE OF SERVICES <br />Vendor shall sell Goods to the City from the categories listed below on an as needed <br />basis. In instances where shipping charges must be charged to City, this shall be noted <br />at time of order. <br />II. PAYMENT TERMS <br />The total cost of Goods purchased under this Master Purchase Agreement shall be in an <br />amount not to exceed One Hundred Thousand Dollars ($100,000). Parts shall be billed <br />at Dealer Cost plus a percent mark-up not to exceed 15% as established in Sourcewell <br />Contract #101520-FMC. Dealer Cost is the price for parts charged to authorized Ford <br />Dealers, established by the Ford Motor Company under its National Fleet Pricing Program <br />and Sourcewell Contract #101520-FMC. Percent mark-up for parts shall be applied for <br />the entire term of this Master Purchase Agreement as follows: <br /> <br />Category % Mark-Up on <br />Dealer Cost <br />All Ford OEM parts except Powertrain 14% <br /> Ford Powertrain parts (replacement engines and <br />transmissions) <br />10% <br />All mark-up shall be applied to Dealer Cost in effect at time of purchase. <br />III.INSURANCE <br />1. Insurance. Vendor will obtain and maintain for the duration of the Master Purchase <br />Agreement and any and all amendments, insurance against claims for injuries to persons <br />or damage to property, which may arise out of or in connection with delivery of the Goods <br />or performance of the Services by Vendor or Vendor’s agents, representatives, <br />employees or subcontractors. The insurance carrier is required to maintain an A.M. Best <br />rating of not less than “A-: VII”. <br />1.1 Coverages and Limits.
