REV: 05-01-24 LF LICENSE AGREEMENT FOR FIRE TRAINING PURPOSES This License Agreement for Fire Training Purposes (“License”) is executed on this first____ day of May, 2024 (“Effective Date”), by and between The Sobrato Organization, a California limited liability company (“Licensor”) and the REDWOOD CITY FIRE DEPARTMENT, a department of the CITY OF REDWOOD CITY, a California Municipal Corporation (“Licensee”). RECITALS A. Licensor is the fee owner of certain parcels of real property located at 1301 Broadway in Redwood City, California, which includes, among other things, the buildings at 1301 Broadway, Redwood City, California, 94063 (collectively, the “Property”). B. Licensor is scheduled to demolish the improvements on the Property on May 6, 2024. C. Licensor has offered Licensee the opportunity to access and use the Property for training Licensee’s fire department trainees for fire and other critical incidents, including destruction of exterior and interior walls, roofs, windows, exterior and interior doors and other improvements (“Fire Training”), subject to and upon the terms and conditions contained in this License. D. Licensee desires to license the Property from Licensor for such purposes. AGREEMENTS NOW, THEREFORE, in consideration of the foregoing recitals, which by this reference are incorporated herein, and in consideration of the mutual covenants, conditions and agreements contained herein, Licensor and Licensee hereby agree as follows: 1. GRANT OF LICENSE. Licensor hereby grants to Licensee and its trainees a temporary, non-exclusive and non- possessory License to utilize the Property on the terms set forth herein. During the Term (defined in Section 2, below), Licensee and its trainees shall have the right to utilize the Property for the purpose of Fire Training. 2. TERM AND LICENSE FEE. The term of this License shall commence on the Effective Date and terminate as of May 5, 2024 (“Term”); provided that Licensor shall have the right to revoke such License at any time. Licensee shall have no obligation to pay Licensor a fee for Licensee’s Fire Training.
