QUIET ENJOYMENT, TITLE AND AUTHORITY. <br />Licensor covenants and warrants that (i) it has full right, power and authority to execute <br />this Temporary License and has the power to grant all rights hereunder and bind itself hereto <br />through the party set forth as signatory for Licensor below; (ii) it has good and marketable title to <br />the Property free and clear of any liens, mortgages, restrictions or other encumbrances that will <br />interfere with Licensee's Permitted Use of the Licensed Area; (iii) to the best of Licensor’s current <br />and actual knowledge, the Property is not encumbered by any liens, restrictions, mortgages, <br />covenants, conditions, easements, leases, or any other agreements (collectively, <br />“Encumbrances”) not of record, which would adversely affect Licensee’s Permitted Use and <br />enjoyment of the Licensed Area under this License; (iv) after the Effective Date the Property will <br />not be encumbered with any Encumbrances of record or not of record which would adversely <br />affect Licensee’s Permitted Use and enjoyment of the Licensed Area under this License, or <br />materially and adversely affect the rights expressly granted or conferred by Licensor to Licensee <br />pursuant to this Temporary License as such rights related to access or utilities; (v) its execution <br />and performance of this Temporary License will not violate any laws, ordinances, covenants, or <br />the provisions of any mortgage, lease, license or other agreement binding on Licensor; and (vi) <br />Licensee shall have the quiet enjoyment of the Licensed Area, and Licensee shall not be disturbed <br />as long as Licensee is not in default beyond any applicable grace or cure period. <br />15. HAZARDOUS SUBSTANCES. <br />15.1 For purposes of this Temporary License, the term “Hazardous Substances” <br />means: (a) any substance, products, waste, or other material of any nature whatsoever which is or <br />becomes listed, regulated, or addressed pursuant to the Comprehensive Environmental Response, <br />Compensation, and Liability Act (CERCLA), 42 United States Code Section 9601 et seq.; the <br />Resources Conservation and Recovery Act, 42 United States Code Section 6901 et seq.; the <br />ATTY/AGR.2024.045/Verizon Wireless (Temporary Wireless Communication Site) (Page 19 of 31)
