The Communications Equipment includes conduits, utility lines, fiber, vaults, <br />wires, cables, pipes, and other necessary connections and appurtenances, which may be installed <br />and maintained between the Licensed Area and the electric power, telephone, and the edge of the <br />Property nearest to the power sources for the Property (the “Connection Area”), which spaces <br />have been mutually and reasonably designated by the Parties prior to construction as depicted in <br />Exhibit “B”. <br />1.2 Subject to the terms and conditions of this Temporary License, Licensor hereby <br />further grants to Licensee a non-exclusive license (which license shall remain irrevocable during <br />the Term, except to the extent that the Temporary License may be revoked or otherwise terminated <br />as expressly set forth herein) to those certain spaces designated for non-exclusive foot and <br />vehicular access as more particularly described and shown in Exhibit “B” (the “Access Area”). <br />Additionally, upon twenty-four (24) hours’ prior notice to Licensor, Licensee shall have the right <br />to access those other certain spaces designated for non-exclusive pedestrian and vehicular (if <br />possible) access upon, over and through the Property to the Connection Area (the “Connection <br />Area Access”) for the construction, maintenance, upgrade and repair of Licensee’s conduits, utility <br />lines, wires, cables, pipes and other necessary connections. Notwithstanding the foregoing, in the <br />event of an emergency circumstance (which shall be deemed to include any outage or failure of <br />the Communications Equipment), Licensee shall have Connection Area Access without the <br />requirement of providing twenty-four (24) hours’ prior notice to Licensor, but Licensee shall <br />provide notice to Licensor of such emergency Connection Area Access as soon as reasonably <br />practicable in light of the emergency circumstances. <br />1.3 Licensee shall be responsible for obtaining at its sole cost and expense, any <br />easements, rights of way or other authorizations that may be required from owners of private <br />property adjoining the Property in order to access the Property for the purposes of this Temporary <br />License. <br />1.4 Licensee shall not use the Property for any purpose not expressly permitted <br />hereunder. Licensee shall not (a) create, cause, maintain or permit any private or public nuisance <br />in, on or about the Property or permit or suffer the Property to be used for any unlawful purpose, <br />or (b) do or permit to be done anything in any manner which creates a private or public nuisance <br />to the occupants of neighboring property, or (c) interfere with or disturb in any way (1) subject to <br />the terms of Section 5 of this License, the operations of Licensor on the Property, or (2) subject to <br />the terms of Section 5 of this License, the use of the Property by other licensees. <br />1.5 Licensee shall, at Licensee’s expense, keep and maintain the Licensed Area in <br />reasonable condition and repair during the Term. Licensee shall be responsible for maintenance of <br />the non-structural portions of the Licensed Area. <br />1.6 Licensee shall install and operate the Communications Equipment in a good and <br />workmanlike manner that shall at all times be in compliance with all applicable federal, state and <br />local laws, rules and regulations (collectively, “Laws”). <br />1.7 Licensee shall not place any signs upon the Property without the prior written <br />consent of the Licensor, except as provided in Section 22. <br />ATTY/AGR.2024.045/Verizon Wireless (Temporary Wireless Communication Site) (Page 2 of 31)
