REV: 04-01-24 SK <br />documentation to verify Licensor’s or such other party’s right to receive rental as is reasonably <br />requested by Licensee. Rental shall accrue in accordance with this Temporary License, but <br />Licensee shall have no obligation to deliver License Fee payments until the requested <br />documentation has been received by Licensee. Upon receipt of the requested documentation, <br />Licensee shall deliver the accrued rental payments as directed by Licensor. <br />3.3 Except as expressly provided in Section 3.1 above or as otherwise set forth herein, <br />the License Fee shall be payable without offset or deduction at Licensor's address specified below <br />or to any other person or firm as Licensor may, from time to time, designate in writing at least <br />sixty (60) days in advance of any License Fee payment due date. If, at any time, Licensee fails to <br />make payment within ten (10) business days following receipt of written notice that a payment is <br />past due, a late charge equal to five percent (5%) of such past due amount shall be due, as well as <br />interest which shall accrue on the past due amount at the rate of twelve percent (12%) per annum <br />or the maximum allowable by law, whichever is less, until paid in full. This right is in addition to <br />all rights of Licensor to terminate this Temporary License pursuant to Section 9 herein. <br />3.4 Intentionally Omitted. <br />3.5 All sums payable by Licensee under this License, whether or not stated to be <br />License Fees, shall be collectible by Licensor as License Fees, and upon default in payment thereof <br />Licensor shall have the same rights and remedies as for failure to pay License Fees (without <br />prejudice to any other right or remedy available therefor). <br />4. ASSIGNMENT. <br />4.1 Licensee shall not assign this Temporary License in whole or in part without the <br />prior express written consent of the Licensor, which consent may be withheld in the Licensor’s <br />sole discretion. Notwithstanding the foregoing, Licensee may assign, transfer or sell (each, a <br />“Transfer”) this Temporary License and its other rights and obligations hereunder (including, <br />without limitation its rights to renew) to (a) any person or business entity which is an “Affiliate” <br />of Licensee, or (b) any entity acquiring all or substantially all of Licensee’s assets in the market as <br />defined by the Federal Communications Commission in which the Property is located, upon prior <br />written notification to Licensor. Licensee will not be relieved of any future performance, liabilities <br />and obligations under this Temporary License following a Transfer of this Temporary License to <br />an Affiliate. For purposes of this subparagraph, “Affiliate” shall mean person or entity that is under <br />the ultimate control of Cellco Partnership, a Delaware general partnership, dba Verizon Wireless. <br />“Control” of a person or entity means the power (directly or indirectly) to direct the management <br />or policies of that person or entity, whether through the ownership of voting securities, by contract, <br />by agency or otherwise. <br />4.2 Licensee may not sublicense all or any portion of the Licensed Area or any of its <br />rights hereunder except with the prior written consent of Licensor, which consent may be withheld <br />in the Licensor’s sole discretion, and as they may be amended. Licensee must submit sublicense <br />requests to Licensor in writing together with a final execution copy of the sublicense agreement <br />and its appendices and exhibits with no redactions. Any sublicense that is entered into by Licensee <br />with the prior written consent of Licensor shall be subject to the provisions of this Temporary <br />License and shall be binding upon the successors, assigns, heirs and legal representatives of the <br />ATTY/AGR.2024.045/Verizon Wireless (Temporary Wireless Communication Site) (Page 4 of 31)
