Standing Agreement and Service Call-Out <br />Owner agrees to provide and Charterer agrees to hire, on a time / spot charter basis, the Vessel (s) identified on the Time / <br />spot charter Certificate for the purpose of providing transportation and related services for Charterer. <br />Charterer shall request performance of services by completion of a Time / spot charter Certificate upon the form attached <br />as Exhibit 1 hereto or by telephone, facsimile, or other informal method of communication. If requested by telephone, <br />facsimile, or other informal method of communication, such request shall be deemed a Time / spot charter Certificate for <br />purposes of this agreement. The Time / spot charter Certificate shall identify the particulars for the services to be performed <br />by Owner, including: the Vessels to be utilized; the applicable hire rates; the starting and destination ports/places; and the <br />cargo’s to be transported, as well as all other particulars, details, and special agreements applicable to such services. Upon <br />execution (or agreement if requested informally), the Time / spot charter Certificate shall be incorporated into this agreement <br />and the services requested shall be performed pursuant to such Time / spot charter Certificate as well as the terms and <br />conditions set forth herein. <br />2. Delivery and Redelivery <br />The Vessels shall be delivered to Charterer on the date/time and at the port/place identified on the Time / spot charter <br />Certificate, unless circumstances beyond Owner's control prevent or delay the same, with the Vessels deck clean, free of <br />debris, and ready for use by Charterer. After completion of services the Vessels shall be redelivered to Owner on the <br />date/time and at the port/place identified on the Time / spot charter Certificate, with the Vessels deck clean, free of debris <br />and ready for subsequent use by Owner. <br />3. Hire, Charges and Payment <br />A. Hire. Unless otherwise agreed, hire shall begin to accrue upon delivery of the Vessels to Charterer and shall <br />continue without interruption at the rate identified on the Time / spot charter Certificate until redelivery of the <br />Vessels to Owner. <br />B. Fuel and Lubricating Oils. The costs of fuel and lubricating oils for the Vessels shall be deemed included within <br />or shall be paid/reimbursed separately by Charterer, as indicated on the Time / spot charter Certificate. <br />ATTY/AGR./Marine Express (Page 1 of 11)
