Applicable Law, Venue and Legal Fees This agreement and performance hereunder shall be governed by the general maritime law of the United States, or by the laws of California in the event there is no applicable general maritime rule of law. The parties submit to the exclusive personal and subject matter jurisdiction of the United States District Court located in San Francisco California with respect to any litigation arising out of this agreement or performance hereunder, with the substantially prevailing party entitled to recover its legal fees and costs. 17. Electronic Signatures .If all Parties agree, electronic signatures may be used in place of original signatures on this Charter agreement. Each Party intends to be bound by the signatures on the electronic document, is aware that the other Parties will rely on the electronic signatures, and hereby waives any defenses to the enforcement of the terms of this Charter agreement based on the use of an electronic signature. After all Parties agree to the use of electronic signatures, all Parties must sign the document electronically 18. Integration, Neutral Construction and Headings This Time / spot charter, including any fully executed Time / spot charter Certificate, expresses the entire agreement between the parties with respect to matters addressed herein, and supersedes any prior or contemporaneous agreements, whether written or oral; there are no agreements, understandings, representations, arrangements or undertakings with respect to the services contemplated which are not fully expressed herein. This agreement shall not be modified or amended except through a written instrument signed by both parties. This agreement shall be construed neutrally, and as the commemoration of the mutual assent of both parties, rather than for or against either party. The headings used in this agreement are for convenience of reference only and shall not be construed so as to give any substantive meaning to the agreement between the parties.
