REV: 07-05-24 MI <br />“EXHIBIT A” <br />SCOPE OF SERVICES AND FEE <br />Consultant shall perform the following: <br />1. Perform all financial analysis necessary to determine the cost-effectiveness of <br />refunding the 2013 Water Enterprise Revenue Bonds and the size and structure of a <br />refunding bond issue (the “Bonds”); <br />2. Assist with the selection of bond counsel and disclosure counsel; <br />3. Make presentations to the City Council and its finance subcommittee as requested; <br />4. Recommend a plan of finance and provide advice regarding the attendant risks <br />and benefits; <br />5. Develop an implementation schedule and manage the activities leading to the <br />financing’s completion. The schedule shall call for a closing date as soon as is practical <br />consistent with sound municipal finance practice; <br />6. Prepare draft staff reports in connection with presentations to the City Council and <br />any required City Council approvals in connection with the plan of finance; <br />7. Recommend the method of sale (competitive or negotiated). <br />In connection with a negotiated sale of Bonds, Consultant shall: <br />8. Assist in the selection of an underwriter; <br />9. Meet and confer with City staff, the underwriter, bond counsel and disclosure <br />counsel to ascertain the scope of the financing project and the financial objectives of the <br />City; <br />10. Recommend a security structure and relevant marketing features that will achieve <br />the City’s objectives and which will, in our opinion, result in the highest compatible rating <br />and associated lowest feasible interest rates; <br />11. Recommend revisions to the structure or security of the financing proposed by the <br />underwriter that may be in the City’s best interests; <br />12. Review all numerical analyses provided by the underwriter for accuracy, <br />reasonableness of assumptions and consistency with City’s financial objectives; <br />13.
