Time is of the essence in the performance by each Party of its <br />obligations under this Agreement. <br />22. Authority. Each person executing this Assignment represents and warrants that he <br />or she has the authority to bind his or her respective Party to the performance of its obligations <br />hereunder and that all necessary board of directors’, shareholders’, partners’, members’, <br />managers’, and other approvals have been obtained. <br />23. Counterparts. This Assignment may be executed in counterparts, each of which shall, <br />irrespective of the date of its execution and delivery, be deemed an original, and the <br />counterparts together shall constitute one and the same instrument.
