ATTY/RESO.0046/CC RESO APPROVING DEPT DISCLOSURE POLICIES & PROCEDURES – EXHIBIT A <br />REV: 05-07-19 VR <br />Last update: 5/20/2019 <br />Page 5 of 11 <br />Pursuant to the continuing disclosure undertakings that the City has entered into in connection <br />with its bond offerings, the City is contractually required each year to file annual reports with the <br />Municipal Securities Rulemaking Board’s (MSRB) Electronic Municipal Market Access (“EMMA”) system <br />in accordance with such undertakings. Such contracts require that the annual reports include certain <br />updated financial and operating information, and the City’s audited financial statements (or if they are <br />not available, the City’s unaudited financial statements). The City is also required under its continuing <br />disclosure undertakings to file notices of certain Listed Events with EMMA. <br /> <br />The procedures for the City to file with respect to its contractual continuing disclosure obligations <br />are set forth in Attachment 1 to this Disclosure Policy. <br /> <br />Public Statements Regarding Information Material to City Bond Issues <br /> <br />City’s Website. The City shall establish and maintain an investor information section of the City’s <br />website. Disclosure documents that are material to the City’s securities (official statements, CAFRs, Listed <br />Event notices and continuing disclosure annual reports), and no other information, shall be posted to the <br />investor information section of the City’s website following their review and approval. <br /> <br />The Disclosure Coordinator shall review the investor information section of the City’s website at <br />least annually to assure that (a) material third-party information is not linked or referred to without <br />appropriate disclaimers, is not hyperlinked, and is not included unless the Disclosure Coordinator has <br />reason to believe that it is reliable, and identifies the source of the information; (b) dated material <br />information is removed from the website or moved to a clearly labeled archives page; (c) all material <br />financial and operating data is presented as of a specific date with appropriate disclaimers as to the <br />currency of the data; and (d) the material information presented is consistent with the knowledge of <br />appropriate personnel of the City and not internally inconsistent. <br /> <br />The City’s “Terms and Conditions” page on the website shall include the following statement: <br /> <br />“The only information on this website that is posted with the intention of reaching the <br />investing public, including bondholders, rating analysts, investment advisors, or any other <br />members of the investment community, is located on the investor information web <br />pages. Other than the specific information presented in the investor information web <br />pages, no other information on the City’s website is intended to be the basis of or should <br />be relied upon in making an investment decision. Because each security issued by the <br />City or its related entities may involve different sources of payment and security, you <br />should refer for additional information to the official statement and continuing disclosure <br />filings for the particular security. The information posted in the investor information web <br />pages speaks only as of its date.” <br /> <br />The investor information of the City’s website shall include the following statement on each page <br />of the City’s investor website section that shall read: <br /> <br />“All information contained on this website is obtained from sources believed to be <br />accurate and reliable. While all information presented is believed to be accurate and <br />reliable, it is prepared without audit unless otherwise identified as audited financial <br />information. Due to the possibility of human or mechanical error and other factors, this
