<br />8 <br /> <br />“Revenue Fund” means the “Water Utility Fund” currently maintained by the City, or such <br />other fund of the City into which it deposits Gross Revenues. <br /> <br />“Serial Parity Obligations” means Parity Obligations for which no Sinking Fund <br />Installments are established. <br /> <br />“Series 2024 Bonds” has the meaning set forth in the Indenture. <br /> <br />“Sinking Fund Installment” means, with respect to any Term Parity Obligations, each <br />amount so designated for such Term Parity Obligations in the Parity Instrument authorizing the <br />issuance of such Parity Obligations requiring payments by the City to be applied to the <br />retirement of such Parity Obligations on and prior to the stated maturity date thereof. <br /> <br />“Term Parity Obligations” means Parity Obligations that are payable on or before their <br />specified maturity dates from Sinking Fund Installments established for that purpose and <br />calculated to retire such Parity Obligations on or before their specified maturity dates. <br /> <br />“Trustee” means U.S. Bank Trust Company, National Association, or such other Trustee <br />designated pursuant to the Indenture. <br /> <br />“2015 Installment Purchase Contract” means the Installment Purchase Contract, dated <br />as of May 1, 2015, between the City and the Authority. <br /> <br />“2017 Installment Purchase Contract” means the Installment Purchase Contract, dated <br />as of February 1, 2017, between the City and the Authority. <br /> <br />“Variable Rate Indebtedness” means any portion of indebtedness evidenced by Parity <br />Obligations the interest rate on which is not established at the time of incurrence of such <br />indebtedness and has not, at some subsequent date, been established at a rate which is not <br />subject to fluctuation or subsequent adjustment. <br /> <br />“Water Service” means the service made available or provided by the Enterprise. <br /> <br />ARTICLE II <br /> <br />ACQUISITION OF THE PROJECT <br /> <br />Section 2.01. Purchase and Sale of the Project. <br /> <br />The City represents and warrants that it is the owner of certain interests in the Project. <br />The Authority hereby purchases from the City, and the City hereby sells to the Authority, the <br />Project in accordance with the provisions of this Installment Purchase Contract. All right, title <br />and interest in the Project shall immediately vest in the Authority on the Closing Date without <br />further action on the part of the Authority or the City. On the Closing Date, the Authority shall <br />pay to the City, as and for the purchase price of the Project, the amount of $_______, which <br />amount shall be paid from the proceeds of the Series 2024 Bonds. <br /> <br />The City hereby purchases from the Authority, and the Authority hereby sells to the City, <br />the Project in accordance with the provisions of this Installment Purchase Contract.
