This Purchase Agreement when accepted by the Authority and the City in writing <br />shall constitute the entire agreement among the City, the Authority, and the Underwriter and is made <br />solely for the benefit of the City, the Authority, and the Underwriter (including the successors or <br />assigns of the Underwriter approved by the City and the Authority). No other person shall acquire or <br />have any right hereunder or by virtue hereof. All of the representations, warranties, and agreements <br />of the City and the Authority contained in this Purchase Agreement shall remain operative and in full <br />force and effect regardless of (a) any investigation made by or on behalf of the Underwriter (but, if <br />the Underwriter does discover by its investigation that the Official Statement contains any untrue <br />statement of a material fact or omits to state a material fact necessary to make the statements therein, <br />in light of the circumstances under which they were made, not misleading, the Underwriter shall so <br />notify the City and the Authority); (b) the delivery of and payment for the Bonds; and (c) any <br />termination of this Purchase Agreement. <br />8.A. - Page 233 of 255 <br />861
