REV: 08-22-24 MI AMENDMENT NO. 1 TO MASTER PURCHASE AGREEMENT FOR GOODS, COMMODITIES, AND SERVICES Underground Republic Water Works, Inc. This Amendment No. 1 (the “Amendment No. 1”) is entered into and effective as of September 1, 2024, by and between the City of Redwood City, a charter city and municipal corporation of the State of California (“City”), and Underground Republic Water Works, Inc., a California corporation (“Vendor”) (collectively, the “Parties”). RECITALS A. The Parties previously executed that certain Master Purchase Agreement for Goods, Commodities, and Services, dated as of September 1, 2023, (the “Agreement”) B. The Parties have negotiated and agreed to the terms and conditions set forth in this Amendment No. 1. NOW, THEREFORE, in consideration of these recitals and the mutual covenants contained herein, the Parties agree as follows: 1. The aggregate purchase price for the Goods and Services provided under this Amendment No. 1 will not exceed One Million One Hundred Sixty-Two Thousand Three Hundred Fifty Dollars ($1,162,350). Including all amendments through Amendment No. 1, the total amount payable under the Agreement will be a not-to-exceed amount of One Million Seven Hundred Two Thousand Three Hundred Fifty Dollars ($1,702,350). 2. The term of the Agreement is hereby extended for an additional two year period, expiring on August 31, 2026. Including all extensions through this Amendment No. 1, the total term of the Agreement is three years from the Effective Date of the Agreement. 3. All other provisions of the Agreement will remain in full force and effect. 4. All requisite insurance policies to be maintained by Vendor pursuant to the Agreement will include coverage for this Amendment No. 1. 5. The individuals executing this Amendment No. 1, and the instruments referenced in it on behalf of Vendor each represent and warrant that they have the legal power, right and actual authority to bind Vendor to the terms and conditions of this Amendment No. 1. 6. If all Parties agree, electronic signatures may be used in place of original signatures on this Amendment No. 1. Each Party intends to be bound by the signatures ATTY/AGR.2024/Amend.
