3 <br /> <br /> <br />1. PROJECT COSTS <br /> <br />The Parties have agreed to a cost-sharing model to cover the expense of the StreetLight <br />Data services to be obtained by C/CAG pursuant to the Subscription Order (Attachment A) and <br />Master Agreement (Exhibit A to Attachment A) between StreetLight Data and C/CAG. The total <br />Project cost for one year of services is $363,000. CONTINUING PARTICIPATION AND COST SHARING <br /> <br />The term of services from StreetLight Data will commence on September 1, 2023 and <br />continue until August 31, 2024. The Parties agree to negotiate in good faith, beginning no <br />later than 90 days prior to the conclusion of the current year of services, to determine <br />whether to continue services, and to affirm their financial commitment. Any extension of <br />services and associated financial commitment beyond the current term shall be <br />memorialized in the form of a written amendment to this MOU. <br /> <br /> <br />3. C/CAG RESPONSIBILITIES <br /> <br />A. C/CAG will serve as the lead agency for the PROJECT and has retained <br />Streetlight Data to provide the services described in Attachment A, attached <br />hereto and incorporated herein, for the benefit of the Parties. <br /> <br />B. C/CAG will administer the user domains obtained through the subscription, as <br />described in Attachment A, in collaboration with the Jurisdictions and <br />SMCTA and SamTrans, and at C/CAG’s discretion.
