DocuSign Envelope ID: FEC662A1-ADEF-4D6E-9E35-7C29102C544C <br /> <br />AMENDMENT #1 TO MASTER DATA ACCESS AGREEMENT <br /> <br />THIS AMENDMENT #1 is entered into as of the date of last signature below (the, “Effective Date”) <br />BETWEEN: <br /> <br /> <br /> <br /> <br />of the First Part <br />STREETLIGHT DATA, INC. a Delaware corporation, <br />located at 677 Harrison Street, San Francisco, CA 94107 <br />(hereinafter referred to as “StreetLight”) <br /> <br /> <br />and <br />CITY/COUNTY ASSOCIATION OF GOVERNMENTS OF SAN MATEO COUNTY <br />A California joint powers agency, located at 555 County Center, 5th Floor, Redwood City, CA <br />94063 <br />(hereinafter referred to as “Customer”) <br />of the Second Part <br />WHEREAS the parties hereto entered into a Master Data Access Agreement as of April 30, 2020 which shall <br />hereinafter be referred to as the “Agreement”; <br />WHEREAS, the parties wish to amend the Agreement as set out below. <br />NOW THEREFORE in consideration of the mutual covenants herein contained and other good and valuable <br />consideration, the receipt and sufficiency of which are hereby acknowledged, the parties agree as follows: <br />1. Section 9.2(d) will be deleted in its entirety and replaced by the following: <br />Customer may terminate the Order and Agreement at any time prior to June 19, 2020, for any reason in <br />Customer’s sole discretion and without any penalty, fee, or payment that may otherwise be due under this <br />Order or the Agreement. Customer must provide such notice in writing before June 19, 2020. In the event of <br />such termination, Customer will have no additional obligations, commitments, or duties under this Order or <br />the Agreement. <br />2.
