6 <br /> <br /> <br />B. The Parties understand that following execution of the StreetLight Data Master <br />Agreement and Subscription Order, the Project will have up to a 6-month start delay <br />per the request of the C/CAG Board of Directors and as described in Section 7. <br /> <br />C. Each Party will designate a single staff point of contact for the Project. This includes <br />but is not limited to coordination for evaluation, trainings, webinars, and contractual <br />communication. <br /> <br />7. TIME OF PERFORMANCE <br /> <br />The Parties understand and agree that the one-year StreetLight Data subscription will begin <br />September 1, 2023 and will terminate August 31, 2024, unless further extended by mutual <br />agreement of the Parties in the form of an amendment to this MOU. <br /> <br /> <br />8. METHOD OF PAYMENT <br /> <br />A. Each Jurisdiction will select one of the methods of payment described below and <br />indicate its preferred method of payment on the signature page of this MOU. <br /> <br />i. Each Jurisdiction agrees to reimburse C/CAG for expenses for the Project in <br />the amount specified for the relevant Jurisdiction in Section 1. C/CAG will <br />submit one invoice to each Jurisdiction, accompanied by the paid invoice <br />issued by C/CAG to StreetLight Data, as documentation that services were <br />paid for by C/CAG. Upon receipt of the invoice and accompanying <br />documentation, the Jurisdiction will pay the proportional share specified in <br />Section 1 and claimed under the invoice, within thirty <br />(30) days of receipt of the invoice, delivered or mailed to the Jurisdiction at the <br />address indicated on the signature page of this MOU. <br /> <br />ii. The Jurisdiction agrees that C/CAG will deduct the expenses for the Project <br />in the amount specified for the relevant Jurisdiction in Section 1 from the <br />Local Streets and Roads portion of the annual Measure M allotment to each <br />Jurisdiction by C/CAG. The Jurisdiction agrees that C/CAG may continue <br />such deductions in future years, if the Jurisdiction remains a participant in <br />an amended or successor MOU. <br /> <br />B. SMCTA and SamTrans agree to reimburse C/CAG for expenses for the Project in the <br />amount specified in Section 1. C/CAG will submit one invoice to SMCTA and SamTrans, <br />accompanied by the paid invoice issued by C/CAG to StreetLight Data, as documentation <br />that services were paid for by C/CAG. Upon receipt of the invoice and accompanying <br />documentation, SMCTA and SamTrans will pay the proportional share specified in Section <br />1 and claimed under the invoice, within thirty (30) days of receipt of the invoice, delivered <br />or mailed to SMCTA and SamTrans at the address indicated on the signature page of this <br />MOU. <br /> <br />9.
