City may terminate this Agreement in the event that (i) any Priority or Emergency <br />Ticket remains unresolved for a period in excess of ten (10) days; or (ii) Company remains at less <br />than 95% of System Availability for a period in excess of ten (10) days. City will give written notice <br />of termination in the month following the month during which such breach occurred along with <br />reasonable detail of the breach.
