REV: 10-09-24 MI AMENDMENT NO. 1 TO AGREEMENT FOR SERVICES The Crosby Group Engineers Architects, Inc. dba Crosby Group This Amendment No. 1 (the “Amendment No. 1”) is entered into and effective as of January 5, 2025, by and between the City of Redwood City, a charter city and municipal corporation of the State of California (“City”), and The Crosby Group Engineers Architects, Inc. dba Crosby Group, a California corporation (“Consultant”) (collectively, the “Parties”). RECITALS A. The Parties previously executed that certain Agreement for Services, dated as of January 5, 2022, (the “Agreement”). B. The Parties have negotiated and agreed to the terms and conditions set forth in this Amendment No. 1, including any terms and conditions of the attached Exhibit A, incorporated herein by reference. NOW, THEREFORE, in consideration of these recitals and the mutual covenants contained herein, the Parties agree as follows: 1. Consultant will provide the services set forth in Exhibit “A” to Amendment No. 1, and such services will be considered part of the Services for purposes of the Agreement. 2. City will pay Consultant a not-to-exceed amount of Two Hundred Thousand Dollars ($200,000) for the completion of all the services described in Exhibit “A”, which sum will include all costs or expenses incurred by Consultant. Including all amendments through Amendment No. 1, the total amount payable under the Agreement will be a not-to-exceed amount of Five Hundred Thousand Dollars ($500,000). 3. Unless terminated earlier, the term of this Amendment No. 1 will be a period of two years from the effective date of this Amendment No. 1. Including all amendments, through Amendment No. 1, the total term of this Agreement is five years from the Effective Date of this Agreement. 4. All other provisions of the Agreement will remain in full force and effect. 5. All requisite insurance policies to be maintained by Consultant pursuant to the Agreement will include coverage for this Amendment No. 1. 6. The individuals executing this Amendment No. 1, and the instruments referenced in it on behalf of Consultant each represent and warrant that they have the legal power, right and actual authority to bind Consultant to the terms and conditions of this Amendment No. 1. 7. If all Parties agree, electronic signatures may be used in place of original signatures on this Amendment No. 1. Each Party intends to be bound by the signatures ATTY/AGR.2024/Amend.
