Any action at law or in equity brought by <br />either of the Parties for the purpose of enforcing a right or rights provided for <br />by this Agreement will be tried in the Superior Court of the State of California in <br />and for the in the County of San Mateo, in any other appropriate court within the <br />County of San Mateo, or in the United States District Court with jurisdiction in <br />the County of San Mateo. Notwithstanding the foregoing, in no event shall either <br />party be liable for the consequential damages or lost profit of the other. <br />15.13.Brokerage Commission. Each party hereby represents and warrants <br />that it has not obtained the services of a broker in connection with this <br />Agreement. <br />15.14.Authorization. Each individual or entity executing this Agreement on <br />behalf of any party represents and warrants that he or she or it is duly authorized <br />to execute and deliver this Agreement on behalf of such party and that such <br />execution is binding upon such party. <br />15.15.Electronic Signatures. If all Parties agree, electronic signatures may <br />be used in place of original signatures on this Agreement. Each party intends <br />to be bound by the signatures on the electronic document, is aware that the <br />other Parties will rely on the electronic signatures, and hereby waives any <br />defenses to the enforcement of the terms of this Agreement based on the use <br />of an electronic signature.
