Any action at law or in equity brought by either of the Parties for the purpose of enforcing a right or rights provided for by this Agreement will be tried in the Superior Court of the State of California in and for the in the County of San Mateo, in any other appropriate court within the County of San Mateo, or in the United States District Court with jurisdiction in the County of San Mateo. Notwithstanding the foregoing, in no event shall either party be liable for the consequential damages or lost profit of the other. 15.13.Brokerage Commission. Each party hereby represents and warrants that it has not obtained the services of a broker in connection with this Agreement. 15.14.Authorization. Each individual or entity executing this Agreement on behalf of any party represents and warrants that he or she or it is duly authorized to execute and deliver this Agreement on behalf of such party and that such execution is binding upon such party. 15.15.Electronic Signatures. If all Parties agree, electronic signatures may be used in place of original signatures on this Agreement. Each party intends to be bound by the signatures on the electronic document, is aware that the other Parties will rely on the electronic signatures, and hereby waives any defenses to the enforcement of the terms of this Agreement based on the use of an electronic signature. After all Parties agree to the use of electronic signatures, all Parties must sign the document electronically.
