PROJECT EXTENSION AGREEMENT <br />This Project Extension Agreement ("Agreement") is made and entered into effective as of <br />November 5, 2024, by and among the City of Redwood City (the "City") and Thompson Builders <br />Corporation ("TBC"). The City and TBC may be referred to herein singularly as "Party" and <br />collectively as "Parties." <br />RECITALS <br />A. On May 24th, 2021, the City approved the award of a contract (the "Contract") to TBC for <br />the construction of the VETERANS MEMORIAL BUILDING/SENIOR CENTER — YMCA <br />JOINT PROJECT — PHASE 1 project (the "Project'); <br />B. On September 27, 2024, the City issued TBC a Notice of Material Breach. This Notice of <br />Material Breach is attached as Exhibit "A;" <br />C. On October 14, 2024, the City issued TBC a Notice of Termination for cause, with <br />termination of the contract effective October 29, 2024. This Notice of Termination is attached as <br />Exhibit `B," (the "Termination"); <br />D. On October 29, 2024, the City issued TBC a Notice of Postponement of Termination, <br />which postponed the effective date of the termination to November 4, 2024. This Notice of <br />Postponement of Termination is attached as Exhibit "C;" <br />E. On November 4, 2024, the City sent an email further postponing the effective date of the <br />Termination to November 6, 2024. <br />E. The Parties have agreed that the City will revoke the Termination and that TBC will <br />complete construction of the Project on the terms herein. <br />
