Project Extension Agreement <br />November 5, 2024 <br />Veterans Memorial Building/Senior Center — YMCA Joint Project — Phase 1 <br />This Agreement shall be construed, in any case where doubt may arise, in such a manner <br />as will make it lawful and fully enforceable, and in the event that any part hereof shall be deemed <br />unenforceable or illegal, then it is the intention of the Parties that such part be severed, and that <br />only the remainder be enforced. <br />15. Governing Law and Enforcement <br />This Agreement and any claim, controversy or dispute arising out of or relating to this <br />Agreement, the relationship of the Parties and/or the interpretation, construction, and enforcement <br />of the Agreement shall be governed by the substantive law (without regard to conflicts of law <br />principles) of California. <br />16. Integration <br />This Agreement constitutes the entire agreement between and among the Parties with <br />respect to the subject matter hereof, and terminates and supersedes all prior representations, <br />promises, inducements, or other communications, whether oral or written. This Agreement cannot <br />be orally amended, modified, waived, or terminated, and no provision hereof may be amended, <br />modified, waived or terminated, except in writing and duly signed by the party against whom such <br />amendment, modification, waiver, or termination is asserted. Except as expressly indicated in this <br />Agreement, this integration clause is not intended to, and does not, make this Agreement terminate <br />or supersede the Contract and any modifications thereto. <br />17. Construction <br />The Parties have had the benefit of the advice of counsel of their own choice in negotiating, <br />drafting, and executing this Agreement and the language of this Agreement is the product of the <br />effort of all counsel.
