Upon Seller's purchase of the Property, Seller was assigned certain rights under the <br />Landscape Agreement by that certain Assignment and Assumption Agreement dated June 3, 2016, <br />by and between Developer, as assignor, and Seller, as assignee (the "Original Assignment") <br />recorded as Instrument No. 2016-053851 in the Official Records. Pursuant to Section 15 of the <br />Landscape Agreement, this letter constitutes Seller's Notice to the City of Seller's assignment of its <br />rights under the Landscape Agreement to SF FRANKLIN 2022, LLC, a Delaware limited liability <br />company ("Buyer"). Seller and Buyer have entered into the enclosed assumption agreement (the <br />"Assumption Agreement"), a copy of which has been recorded in the San Mateo County <br />Recorder's Office.
