EXHIBIT F FORM OF ASSIGNMENT OF CONTRACTS ASSIGNMENT OF CONTRACTS AGREEMENT This ASSIGNMENT OF CONTRACT (this "Assignment Agreement") is made as of 20_ (the "Effective Date"), by City of Redwood City, a California charter city (the "City"), [Insert Qualified Designee Name], a [Insert Qualified Designee entity], and its permitted successors and assigns (the "Assignor"). The City shall hereinafter be referred to as the "Assignee". This,Assignment is entered into with reference to the following facts: RECITALS A. The Assignor, the Assignee, and [Insert Donor Legal Name], a [Insert Donor legal entity] ("Donor") have entered into that certain Affordable Housing Land Donation Agreement dated as of , 20_ (the "Land Donation Agreement"). Capitalized terms used, but not defined, in this Assignment shall have the meaning set forth in the Land Donation Agreement. B. Assignor is required to enter into this Assignment Agreement and assign and pledge to Assignee all of Assignor's rights, title and interests in, to and under those certain contracts listed in the attached Exhibit A, together'with.any and all existing and future amendments, modifications, supplements, and addenda thereto (collectively, the "Contracts"). NOW THEREFORE, in consideration of the foregoing and the mutual representations, warranties, covenants and conditions contained herein, the parties hereto hereby agree as follows: 1. Definitions. Capitalized terms that are used but not defined herein shall have the meanings given to such terms in the Land Donation Agreement. 2. Obligations Secured. This Assignment is made for the purpose of facilitating performance of all of the duties and obligations of Assignor under the Land Donation Agreement (collectively, the "Assigned Obligations"), 3. Assignment. Assignor hereby assigns, conveys and transfers to Assignee, as security for the Assigned Obligations, all of Assignor's right, title and interest in, to and under the Contracts. A complete copy of the Contracts, and any other document listed on Exhibit A shall be provided to Assignee concurrently with delivery of this Assignment, and as necessary to meet the requirements of the Land Donation Agreement. 4. Consent. Assignor agrees to obtain and deliver to Assignee, concurrently with its delivery of this Assignment, any necessary consent to the assignment substantially in the form of Exhibit B hereto from the contractors, and any other contractors retained by Assignor in connection with the Affordable Development. This Assignment and the consent to this Assignment shall not relieve Assignor of its obligations under the Contracts. Assignee does not hereby assume any of Assignor's obligations or duties concerning the Contracts, including, without limitation, any obligation to pay for the work done pursuant thereto. 5. Power of Attorney. Effective upon the occurrence and during the continuance of a Default, Assignor hereby irrevocably constitutes and appoints Assignee as its attorney-in-fact, ATTY/AGR/2024.193.1—AFFORDABLE HOUSING LAND DONATION AGREEMENT— EXHIBIT F—ASSIGNMENT OF CONTRACTS AGR REV: 10-22-24 VR Page 1 of 9
