D. Developer agrees to create and manage an on-line reservation <br />system to reserve the Public Plaza Area for events, in coordination with the City. The Parties also <br />agree that priority for reserved events shall be given to the City or City -approved community <br />groups if made twenty (20) days prior to the event date; the Parties also agree that if the requested <br />date is not available, the Developer shall offer the City or City -approved community groups <br />priority to reserve the Public Plaza Area at the next conveniently available time period. If the <br />Public Plaza Area is not reserved by the City within twenty (20) days before the event date, the <br />Developer may allow other groups and City residents access or use of the Public Plaza Area on a <br />first -come -first -serve basis, at Developer's discretion. The Parties also agree to meet and confer <br />in scheduling any extended duration special events (such as a temporary ice-skating rink) at least <br />six (6) months prior to the first date of the special event. <br />E. The Plaza License Agreement shall be executed by the Parties, and <br />the Plaza Easement shall be executed by the Parties and recorded against the Property, prior to <br />the issuance of the first building permits (including grading permits) for the Project. Any <br />amendments to the Plaza License Agreement shall be in writing and the City Manager is <br />authorized to make said amendments on behalf of the City. <br />Section 2.5 Developer's Voluntary Financial Contributions. <br />A. Community Space Contribution. Developer agrees to provide the <br />City a one-time voluntary financial contribution of Twenty -Five Thousand Dollars ($25,000) for <br />any start-up expenses, such as the purchase of furniture, fixtures, and equipment for the <br />Community Space. <br />S. Public Plaza Area Contributions. Developer shall provide a one- <br />time voluntary financial contribution to the City in the amount of One Hundred Thousand Dollars <br />($100,000) for expenses incurred in activating the Public Plaza Area for public and community <br />events use, and a one-time voluntary financial contribution of Ten Thousand Dollars ($10,000) for <br />the design, fabrication and installation of historic plaques or other signage to highlight the City's <br />history and the Public Plaza Area in general. <br />C. All voluntary financial contributions should be paid to the City, <br />including a percentage increase of the Consumer Price Index ("CPI") between the Effective Date <br />and the date on which such payment is made, and all payments shall be made before the first <br />building permit is issued for the Project. <br />Section 2.6 Shared Parking Covenant. <br />A. Shared Parking Covenant. The Project includes the construction of <br />a two-level underground parking garage, which shall consist of 538 parking spaces, 127 bicycle <br />parking spaces, and 20 motorcycle spaces. Developer agrees to enter into a Shared Parking <br />Covenant that shall include the following: <br />I . Public Use.
