EXHIBIT B <br />CONSENT TO ASSIGNMENT OF CONTRACT <br />The undersigned hereby executes this Consent to Assignment of Contract (this "Consent") to the <br />foregoing Assignment of Contracts executed by , a <br />("Assignor"), to and for the benefit of the City of Redwood City, a <br />California charter city (the "City" also referred to as the "Assignee"), dated as of the date hereof <br />(the "Assignment"). The undersigned agrees to perform pursuant to the terms and conditions of <br />the undersigned's Agreement with Assignor (the "Agreement") described in Exhibit A attached to <br />the Assignment. If requested by Assignee in the exercise of its rights under the Assignment, the <br />undersigned shall continue to perform its obligations under the Agreement in accordance with the <br />terms thereof for which the undersigned shall be compensated in accordance with its Agreement. <br />The undersigned also agrees that, in the event of a breach by Assignor of any of the terms and <br />conditions of the Agreement, the undersigned will give prompt written notice of such breach to <br />Assignee at Assignee' address provided to undersigned. Assignee shall have thirty (30) days from <br />the receipt of such notice of default to remedy or cure such default, provided, however that neither <br />the Assignment nor this Consent shall require Assignee to cure such default, but Assignee shall, <br />in its sole discretion, have the option to do so. The undersigned acknowledges that Assignee are <br />relying on this Consent and the assurances herein in entering into the Land Donation Agreement <br />and this Consent shall also be for the benefit of and bind Assignee and any successors of Assignee <br />and the undersigned. All capitalized terms used in this Consent shall have the same meaning as in <br />the Assignment.
