EXHIBIT G <br />FORM OF PARTIAL ASSIGNMENT AND ASSUMPTION AGREEMENT <br />RECORDING REQUESTED BY <br />AND WHEN RECORDED RETURN TO: <br />City of Redwood City <br />1017 Middlefield Road <br />Redwood City, CA 94063 <br />Attention: City Clerk <br />Space Above This Line Reserved for Recorder's Use <br />Exempt from Recording Fee Per Government Code Section 27383 <br />PARTIAL ASSIGNMENT AND ASSUMPTION <br />OF DEVELOPMENT AGREEMENT <br />This Partial Assignment and Assumption of Development Agreement ("Partial <br />Assignment") dated as of , 202 is entered into by and between 1900 Broadway <br />Owner LLC, a California limited liability company ("Assignor") and <br />("Assignee"), sometimes referred hereto individually as a "Party" and collectively as "Parties." <br />RECITALS <br />A. These Recitals refer to and utilize certain capitalized terms which are defined in <br />Section 1.1 of this Partial Assignment. The Parties intend to refer to those definitions with the <br />initial use in bold, and thereafter with capitalized terms. <br />B. Assignor is the "Developer" under that certain Development Agreement by and <br />between the City of Redwood City and Assignor, recorded on , 2024, as Instrument No. <br />in the Official Records of the County Recorder of San Mateo County, California <br />("Development Agreement"). The Development Agreement relates to that certain real property <br />consisting of approximately 48,771 square feet commonly known as 1900 Broadway, Redwood <br />City, California (Assessor's Parcel Numbers 053-231-210 and 053-231-200), and an additional <br />approximately 21,104 square feet of real property adjacent to 1900 Broadway which includes the <br />Spring/Marshall Parklet and a segment of Spring Street between Main and Walnut Streets which <br />Assigner proposes to acquire from the City and apply to the City to vacate in order to create a <br />69,875 square foot squared parcel for development (collectively, "1900 Broadway Property"). <br />C. Prior to or concurrently with entering into the Development Agreement, as <br />indicated by City Resolution Nos. and , in order to develop a seven (7) -story, 92- <br />foot mixed -used commercial office building consisting of approximately 256,205 gross square feet <br />including 238,300 square feet of office, 10,060 square feet of ground floor retail, 12,085 square <br />feet of public plaza, approximately 1,000 square feet public community room with an additional <br />ATTY/AGR/2024.193 — GATEKEEPER DA —1900 BROADWAY -EXHIBIT G- PARTIAL ASSIGNMENT AND ASSUMPTION <br />REV: 10-22-24 VR <br />Page 1 of 10 <br />
