THIRD AMENDMENT TO STORMWATER TREATMENT MEASURES MAINTENANCE <br />AGREEMENT <br />THIS THIRD AMENDMENT TO Stormwater Treatment Measures Maintenance Agreement, <br />Stanford Health Care, 420-460 Broadway, ("Third Amendment") is made and entered into DVC . G , 2024 <br />("Effective Date"), by and between Stanford Health Care, a California nonprofit public benefit corporation <br />("Stanford Health"), and the CITY OF REDWOOD CITY, a charter city and California municipal <br />corporation ("City"). Stanford Health and City may each be referred to as a "Party" and may be referred to <br />collectively as the "Parties." <br />RECITALS <br />A. Stanford Health and City entered into that certain Stormwater Treatment Measures <br />Maintenance Agreement dated August 28, 2007 and recorded August 30, 2007 as instrument Number 2007- <br />130744 in the Official Records of the County of San Mateo (the "Former Agreement"). Stanford Health <br />and City subsequently entered into that certain Amended and Restated Stormwater Treatment Measure <br />Maintenance Agreement dated December 5, 2016 and recorded December 7, 2016 as instrument Number <br />2016-129945, in the Official Records of the County of San Mateo to replace the Former Agreement (the <br />"First Amended and Restated Agreement"), as amended by that certain Second Amendment to Stormwater <br />Treatment Measures Maintenance Agreement dated as of September 4, 2018 and recorded September 6, <br />2018 as instrument Number 2018-069738 in the Official Record of the County of San Mateo (the "Second <br />Amendment"). The First Amended and Restated Agreement together with the Second Amendment are <br />referred to as the "Amended Stormwater Treatment Measures Maintenance Agreement. " <br />B. The Amended Stormwater Treatment Measures Maintenance Agreement included <br />references to a legible reduced -scale copy of the site plan showing the stormwater treatment measures that <br />are to be located or constructed on the Property ("Site Plan") and installed and maintained by the agreement <br />as shown on Exhibit B attached to the Second Amendment. <br />C. Since the recordation of the Second Amendment, Stanford Health proposed to include <br />additional site areas to the stormwater treatment measures. Stanford Health requested these modifications <br />to the stormwater treatment measures, and in doing so was required to provide an updated Site Plan <br />illustrating the additional site areas. <br />D. The updated Site Plan is further detailed on the updated Exhibit B to this Third <br />Amendment. <br />NOW, THEREFORE, Stanford Health and the City hereby amend the Amended Stormwater <br />Treatment Measure Maintenance Agreement as follows: <br />1. Exhibit B to the Amended Stormwater Treatment Measures Maintenance Agreement is of <br />no further force and effect and is hereby replaced with the updated Exhibit B, attached hereto and <br />incorporated by reference. <br />2. Except as amended in this Third Amendment, the Amended Stormwater Treatment <br />Measures Maintenance Agreement shall remain in full force and effect. <br />3.
