Page 1 of 9 <br /> <br />AGREEMENT FOR SERVICES <br />(Financial and Accounting Services for SBWMA) <br /> <br />THIS AGREEMENT is made and entered into as of the _____ day of <br />__________________, 2024 (“Effective Date”), by and between the CITY OF <br />REDWOOD CITY, a charter city and municipal corporation of the State of California <br />(“City”), and SOUTH BAYSIDE WASTE MANAGEMENT AUTHORITY, a joint powers <br />authority in San Mateo County (“Authority”) (collectively referred to as the “Parties” or <br />individually as a “Party”). <br /> <br />RECITALS <br />A. Authority requires financial and accounting services of the City’s Finance <br />Department. <br /> <br />B. City has the necessary experience and staff available to provide these <br />services. <br /> <br /> <br />C. The Parties previously executed that certain Agreement for Professional <br />Services with Authority, dated as of July 03, 2019. The agreement expired on June 30, <br />2024. However, the Parties continued to work together to ensure continuation of delivery <br />of services described below. The Parties now wish to authorize the payment to the City <br />for any services rendered for the period between July 01, 2024 and the Effective Date of <br />this Agreement. <br /> <br />NOW, THEREFORE, in consideration of these recitals and the mutual covenants <br />contained herein, the Parties agree as follows: <br /> <br />1. Scope of Work. Authority retains City to perform, and City agrees to render, those <br />services (the "Services") that are defined in attached Exhibit "A," which is incorporated <br />herein by reference. In the event of a conflict between the provisions of Exhibit “A” and <br />the terms of this Agreement, the terms of this Agreement shall prevail. <br /> <br />2. Standard of Performance. While performing the Services, City will exercise <br />reasonable professional care and will use reasonable diligence and best judgment while <br />exercising its professional skill and expertise. <br /> <br />3. Term. Unless earlier terminated, the term of this Agreement will commence on <br />July 01, 2024 and shall expire on June 30, 2026. The City and Authority may amend the <br />Agreement to extend it for three (3) additional periods of one (1) year in an amount in an <br />amount to be mutually decided at the time of extension. Extensions will be based upon a <br />satisfactory review of City's performance, City’s ability to continue to provide services, <br />Authority’s needs, and appropriation of funds by the Authority. The Parties will prepare a <br />written amendment indicating the effective date and length of the extended Agreement. <br />   <br /> <br /><br />   <br />25 <br />November
