REV: 04-30-25 LF AMENDMENT NO. 1 TO AGREEMENT FOR SERVICES H2O Solutions, L.L.C. This Amendment No. 1 (the “Amendment No. 1”) is entered into and effective as of _________, 2025, by and between the City of Redwood City, a charter city and municipal corporation of the State of California (“City”), and H2O Solutions, L.L.C., a Washington limited liability company (“Contractor”) (collectively, the “Parties”). RECITALS A. The Parties previously executed that certain Agreement for Services dated as of February 13, 2025 (the “Agreement”). B. The Parties have negotiated and agreed to the terms and conditions set forth in this Amendment No. 1, including any terms and conditions of the attached Exhibit “A,” incorporated herein by reference. NOW, THEREFORE, in consideration of these recitals and the mutual covenants contained herein, the Parties agree as follows: 1. Exhibit “A” to the Agreement is hereby deleted and replaced with Exhibit “A” attached to this Amendment No. 1. 2. City will pay Contractor an additional not-to-exceed amount of Sixty Thousand Dollars ($60,000) for the completion of all the services described in Exhibit “A” of the Agreement attached hereto, which sum will include all costs or expenses incurred by Contractor. Including all amendments through Amendment No. 1, the total amount payable under the Agreement will be a not-to-exceed amount of One Hundred Forty Thousand Dollars ($140,000). 3. The term of the Agreement is hereby extended for an additional two (2) year period. Including all extensions through this Amendment No. 1, the total term of the Agreement is two (2) years and five (5) months, expiring on June 30, 2027. 4. Contractor will complete all work described in Exhibit “A” of the Agreement by June 30, 2027, provided that the City may grant extensions consistent with the extension provisions set forth in the Agreement. 5. All other provisions of the Agreement will remain in full force and effect. 6. All requisite insurance policies to be maintained by Contractor pursuant to the Agreement will include coverage for this Amendment No. 1. 7. The individuals executing this Amendment No. 1 and the instruments referenced in it on behalf of Contractor each represent and warrant that they have the legal power, right and actual authority to bind Contractor to the terms and conditions of this ATTY/AGR.2025/Amend.
