REV: 12-10-24 LF amendments through Amendment No. 2, the total amount payable under the Agreement will be a not-to-exceed amount of Two Hundred Eighty-Two Thousand Two Hundred Seventy-Four and 61/100 Dollars ($282,274.61). 4. Unless terminated earlier, the term of this Amendment No. 2 will be a period commencing from March 25, 2023 through May 31, 2025. Any extension beyond May 31, 2025 will require a written amendment executed by both parties indicating the effective date and length of the extended term of Agreement. Including all amendments, through Amendment No.2, the total term of this Agreement is from January 24, 2018 through May 31, 2025, unless terminated earlier in accordance with terms of the Agreement. 5. Hyland will provide the Maintenance and Support Services described in Exhibit “A” to this Amendment No.2 through May 31, 2025 , provided that the City and Hyland may mutually agree to any extension consistent with the extension provisions set forth in the Agreement. 6. All other provisions of the Agreement will remain in full force and effect. 7. All requisite insurance policies to be maintained by Hyland pursuant to the Agreement will include coverage for this Amendment No. 2. 8. The individuals executing this Amendment No. 2 and the instruments referenced in it on behalf of Hyland each represent and warrant that they have the legal power, right and actual authority to bind Hyland to the terms and conditions of this Amendment No. 2. 9. If all Parties agree, electronic signatures may be used in place of original signatures on this Amendment No. 2. Each Party intends to be bound by the signatures on the electronic document, is aware that the other Parties will rely on the electronic signatures, and hereby waives any defenses to the enforcement of the terms of this Amendment No. 2 based on the use of an electronic signature.
