REV: 01-22-25 VR AMENDMENT NO. 4 TO AGREEMENT FOR SERVICES (Gilbane Building Company) This Amendment No. 4 (the “Amendment No. 4”) is entered into and effective as of __________, 2025, by and between the City of Redwood City, a charter city and municipal corporation of the State of California (“City”), and Gilbane Building Company, a Rhode Island corporation (“Consultant”) (collectively, the “Parties”). RECITALS A. The Parties previously executed that certain Professional Services Agreement , dated as of September 16, 2019 (the “Original Agreement”). B. The Parties previously executed Amendment No. 1 to the Original Agreement, dated as of October 7, 2021 (“Amendment No. 1”). C. The Parties previously executed Amendment No. 2 to the Original Agreement, dated as of August 3, 2023 (“Amendment No. 2”). D. The Parties previously executed Amendment No. 3 to the Original Agreement, dated as of July 31, 2024 (“Amendment No. 3”). E. (the Original Agreement and Amendments No. 1, 2, and 3 are collectively known as the “Agreement”). F. The Parties have negotiated and agreed to the terms and conditions set forth in this Amendment No. 4 including any terms and conditions of the attached Exhibit “A,” incorporated herein by reference. NOW, THEREFORE, in consideration of these recitals and the mutual covenants contained herein, the Parties agree as follows: 1. City will pay Consultant a not-to-exceed amount of Three Hundred Twenty Five Thousand Eight Hundred Twenty Dollars ($325,820) for the completion of all the services described in Exhibit “A” of this Amendment No.4, which sum will include all costs or expenses incurred by Consultant. Including all amendments through Amendment No. 4, the total amount payable under the Agreement will be a not-to-exceed amount of Four Million Six Hundred Forty-Four Thousand Two Hundred Fifty-Eight Dollars ($4,644,258). 2. All other provisions of the Agreement will remain in full force and effect. 3. All requisite insurance policies to be maintained by Consultant pursuant to the Agreement will include coverage for this Amendment No. 4. 4. The individuals executing this Amendment No. 4 and the instruments referenced in it on behalf of Consultant each represent and warrant that they have the legal power, ATTY/AGR.2025/Amend.
