REV: 02-05-25 LF AMENDMENT NO. 1 TO AGREEMENT FOR CONSULTANT SERVICES (Friends for Youth, Inc) This Amendment No. 1 (the “Amendment No. 1”) is entered into and effective as of _________2025, by and between Friends for Youth, Inc., a California non-profit corporation, (“Consultant”), REDWOOD CITY TOGETHER (a collaboration compromised of nine partners, including City of Redwood City, Redwood City Elementary School District, Sequoia Union High School District, County of San Mateo (Health), County of San Mateo (Human Services Agency), Sequoia Healthcare District, John W. Gardner Center for Youth and Their Communities at Stanford University (Stanford University), Kaiser Permanente Health Plan, Inc., and Cañada College), and CITY OF REDWOOD CITY (“City”) acting as Fiscal Agent for Redwood City Together(collectively, the “Parties”). RECITALS A. The Parties previously executed that certain Agreement for Consultant Services, dated as of August 2nd, 2024, (the “Agreement”). B. The Parties have negotiated and agreed to the terms and conditions set forth in this Amendment No. 1, including any terms and conditions of the attached Exhibit “A,” incorporated herein by reference. NOW, THEREFORE, in consideration of these recitals and the mutual covenants contained herein, the Parties agree as follows: 1. Consultant will provide the additional services set forth in Exhibit “A” of this Amendment No.1, and such services will be considered part of the Services for purposes of the Agreement. 2. City will pay Consultant a not to exceed amount of Sixty Three Thousand Five Hundred Dollars ($63,500) for the completion of all the services described in Exhibit “A” of the Original Agreement and this Amendment No.1, which sum will include all costs or expenses incurred by Consultant. Including all amendments through Amendment No. 1, the total amount payable under the Agreement will be a not-to-exceed amount of Eighty Seven Thousand Two Hundred Fifty Dollars ($87,250). 3. Clause 3 of the Agreement will be deleted and replaced as follows:“Consultant will perform and complete all the services by no later than June 30, 2025.” 4. All other provisions of the Agreement will remain in full force and effect. 5. All requisite insurance policies to be maintained by Consultant pursuant to the Agreement will include coverage for this Amendment No. 1.
