REV: 02-07-25 JB AMENDMENT NO. 1 TO AGREEMENT FOR SERVICES Netto Planning Services, LLC This Amendment No.1 (the “Amendment No. 1”) is entered into and effective as of ___________, 2025, by and between the City of Redwood City, a charter city and municipal corporation of the State of California (“City”), and Netto Planning Services, LLC, a California limited liability company ("Consultant") (collectively, the “Parties”). RECITALS A. The Parties previously executed that certain Agreement for Services, dated as of March 20, 2023, (the “Original Agreement”). B. The Parties have negotiated and agreed to the terms and conditions set forth in this Amendment No. 1 incorporated herein by reference. NOW, THEREFORE, in consideration of these recitals and the mutual covenants contained herein, the Parties agree as follows: 1. City will pay Consultant a not-to-exceed amount of Two Hundred and Fifty Thousand Dollars ($250,000) for the completion of all the services described in Exhibit “A” of the Original Agreement at the rate set forth in Exhibit “A” attached to this Amendment No.1, which sum will include all costs or expenses incurred by Consultant. Including all amendments through Amendment No. 1, the total amount payable under the Agreement will be a not-to-exceed amount of Three Hundred and Fifty Thousand Dollars ($350,000). 2. The term of the Agreement is hereby extended for an additional Two (2) year period. Including all extensions through this Amendment No. 1, the total term of the Agreement is Four (4) years, expiring on March 20, 2027. 3. Paragraph 7 of the Original Agreement is replaced in its entirety with the following: 7. Status of Consultant. Consultant will perform the Services as an independent contractor and not as an employee of City. The persons used by Consultant to provide services under this Agreement will not be considered employees of City for any purposes. 7.1 Consultant shall retain the right to perform services for others during the term of this Agreement. 7.2 Consultant will determine the method, details, and means of performing the Services under this Agreement. City will not have the right to, and will not, control the manner or determine the method of accomplishing the Services under this Agreement. ATTY/AGR.2025/Amend.
