J. The City has determined that Qualified Designee is a “Qualifying Designee” as <br />such term is used as part of the Affordable Housing Plan requirements set forth in Chapter <br />2(I)(c)(1) of the Guidelines, and has experience in the development, ownership, and operation of <br />affordable housing projects similar to the anticipated Affordable Development. <br />K. Also included in the 920 Shasta Project Approvals, the City approved a Relocation <br />Plan dated April 1, 2025 (“Relocation Plan”), attached as Exhibit B-2 in which the Qualified <br />Designee agreed to assist the existing occupants of the Affordable Site to relocate as required by <br />the Ordinance and Government Code Section 7260 et seq., and the Relocation Assistance and <br />Real Property Acquisition Guidelines adopted by the California Department of Housing and <br />Community Development and Title 25, California Code of Regulations Section 6000 et seq. <br />(“California Relocation Assistance Law”). <br />L. Subject to the terms and conditions of this Agreement the Developer proposes to <br />convey and donate the Affordable Site to the Qualified Designee and the Qualified Designee <br />desires to accept the Affordable Site from the Developer, (such arrangement referred to herein as <br />the “Land Donation”). <br />M. As of the date of this Agreement, the City Council has approved certain <br />entitlements for the Affordable Development, including but not limited to an Architectural <br />Permit, Vesting Tentative Parcel Map, Affordable Housing Plan, Land Donation, Land Donation <br />Agreement, Relocation Plan, and Density Bonus with associated Concessions and Waiver, subject <br />to Conditions of Approval in connection with the development of the Affordable Site <br />(collectively, the “Affordable Development Project Approvals”). <br />N. Except as otherwise provided for herein, only upon the Close of Escrow of the Land <br />Donation, shall the Developer’s obligations under the Ordinance and the Affordable Housing Plan <br />be deemed satisfied; however, all of Qualified Designee’s duties and obligations to assist in the <br />relocation of the existing occupants of the Affordable Site as set forth in the Relocation Plan, as <br />required by the Ordinance and California Relocation Assistance Law, shall remain and shall not <br />be extinguished by the Close of Escrow of the Land Donation. <br />O. This Agreement and the actions contemplated hereunder have been reviewed with <br />respect to applicability of the California Environmental Quality Act (Public Resources Code <br />Sections 21000 et seq.) (“CEQA”). On February 13, 2023, the City Council adopted Resolution <br />No. 16124, certifying the Final Environmental Impact Report (“Housing Element Update EIR”) <br />and Mitigation Monitoring and Reporting Program (“Housing Element Update MMRP”) for <br />the Housing, Built Environment, Public Safety, Building Community, Natural Resources & <br />Environmental Justice Elements Update to the Redwood City General Plan. On June 26, 2023, <br />by adopting Resolution No. 16153, the City Council certified a Subsequent Environmental Impact <br />Report (“SEIR”) to the Downtown Precise Plan, adopting CEQA findings of fact, a Statement of <br />Overriding Considerations and a Mitigation Monitoring and Reporting Program (“DTPP <br />Amendment MMRP”) related to the City’s approval of the Downtown Precise Plan <br />Amendments. Concurrently with the approval of this Agreement and in connection with both the <br />901 El Camino Real Project Approvals and the Affordable Development Project Approvals, the <br />City Council also adopted a CEQA Guidelines Section 15183 Consistency Checklist, which <br />determined that the 901 El Camino Real Project and the Affordable Development are exempt <br />ATTY/RESO.0034/CC RESO APPROVING PROJECT (901 EL CAMINO REAL) - EXHIBIT C <br />REV: 04-22-25 VR <br /> <br />Page 3 of 224
