B il ler here by g rant s to I n voice Clo ud and its providers a wo rl d wi d e, n o n -ex clusive, ass ignab le, and roya lt y-free li cense a n d right during th e Term, to co p y, use, m o d if y, and pu bl ish the B il ler ’s nam e, logo s , trade dress, p hotogra p hs , websi te material s, and other works of aut ho rship fo r the pur po se of i m p lementing and p roviding t he Service and performi n g t heir ob li ga ti ons under this Agreement. F o r pu rpos es of c lar ity, the l ice n se , rights, and permissi on grants descr ibe d in thi s Se ct ion ar e part of th e “Ser vi ce” under th e Bi ller A g reement . (i) American Express Compliance only. (1)Biller agrees to comply wit h all applicable laws, rules an d regul ations, includi ng th e American Express Mercha nt Operating Guide requirements , which are incorporated into t hi s Agreement by reference as if they were fully set forth in the Agreement. Biller is prohibited from processing Transactions or receiving payments on behalf of, or (unless required by law) re-directing payments to any other party. (3)Third Party Beneficiary Rights . Biller confers on American Express the third-party beneficiary rights, but not obligations, to the Biller Agreement and subsequent addenda (collectively the “Agreement”) between Biller and Invoice Cloud and, as such, American Express has the express right to enforce the terms of the Agreement against the Biller. Biller agrees and warrants that it does not hold third party beneficiary rights to any agreements between Invoice Cloud and American Express and at no time will attempt to enforce any such agreements against American Express. If Bill er incurs exc es s iv e Cha rgebacks, in Invo ic e Clo ud’s sole det e rmination, o r o the rwis e fail s to p ay fees or c h arges, or the re are ins uf fi ci e n t funds f or I n voi ce Cl ou d to debit amounts for whi ch B il ler is responsib le h e reunde r, in add it ion t o other remedi e s under this Agreement, I n voi ce Clo ud (or the p ayment process o r) may t a k e t h e following a ct ions: (i ) not ify Bi ller of a new rate that w il l be charge d t o proce ss C h argeb a cks; (ii) coll e ct f rom Biller an amount reasonably d ete rm ined b y Invo ic e C loud (or th e p ayment proc es sor ) t o b e s uffi cie n t t o cov e r ant ic ipated Charge back s and a ll relat e d fe e s , pe n a lties, ex p ens e s , a n d f ines, or increase a reserve a mount; (iii) r equire Bill e r to promptly establish a Reser ve Acco unt as det e rmined by Inv oice C loud, or (iv) termi n a te the Agreement. Bill er sha ll be respons ible to Inv o ice C loud for and shall promptly pay to I n voice Clo ud such char g e s req uir e d to be paid by Bil ler ; and any Cha rgebacks, by any par ty, inclu d ing without l imitat ion C hargeb a cks cla im ed by any paym ent a n d credit c ard pro cessors, bank, or ot her fi n a n ci a l services or g a n ization. To the extent permitted by applicable law, Biller shall indemnify, defend, and hold Invoice Cloud, its licensors and Invoice Cloud’s subsidiaries, affiliates, officers, directors, employees, attorneys, agents, and payment processors harmless from and against any and all claims, costs, damages, losses, liabilities and expenses (including attorneys' fees and costs) arising out of or in connection with any claim, cause of action, lawsuit, administrative or criminal investigation, charge, action or claim alleging: (i) any charge against any reserves required by payment or credit card processors; (ii) Chargebacks, Network Fees and insufficiency of funds in any Biller Bank Account, by any party, including without limitation Chargebacks claimed by any payment and credit card processors, bank, or other financial services organization; (iii) that use of any Customer Data infringes the rights of a third party; (iv) a violation by Biller of Biller’s representations and warranties or the breach by Biller or Biller’s users or Customers of this Agreement including without limitation incomplete or inaccurate Transactions; (v) Biller’s violation of any third party payment and credit card processing agreement and merchant agreement, or (vi) relating directly or indirectly to Biller’s or its authorized users’ use of the Service. Biller represents and warrants that the Biller Bank Account(s) will contain sufficient funds to cover any estimated financial exposure based on reasonable criteria for Chargebacks, ACH rejects or reversals, credits, returns, and all additional liabilities anticipated under this Agreement, including, but not limited to Chargebacks, fines, fees and penalties. Invoice Cloud may, at its sole discretion, collect fees related to Chargebacks and ACH rejects and reversals, or other refunds or credits from Biller’s customers. Nothing contained in the foregoing indemnification is intended to restrict the sovereign immunity of the Biller under applicable law. 4. Reserved 5 Encrypted Card Readers (Applicable where Card Readers as designated on the Biller Order Form). Encrypted Card Readers (or Card Readers as described in the Biller Order Form) are provided to the Biller for their use under license fees provided in the Biller Order Form. Invoice Cloud provides to Biller all products on a license basis. Biller will be fully responsible for all products including without limitation all risk of loss and damage to products while in its possession or control, save normal wear and tear.
