REV: 09-12-24 LF <br />be responsible for, and hold City harmless from, any failure to adhere to such standards. <br />Contractor will verify that all activities funded hereunder benefit only residents within City’s <br />corporate limits. Contractor’s commitment to hold City harmless pursuant to this Section <br />5 shall survive the expiration or termination of this Agreement. <br />6. MID-YEAR AND ANNUAL REPORTS. Contractor shall submit to City’s Human <br />Services Coordinator a mid-year and an annual program report documenting Contractor’s <br />success in meeting the Program objectives described in Exhibit “A.” The mid- year <br />program report is due on January 31, 2025. The annual program report is due on July 31, <br />2025. If Contractor shall fail to submit its report on a timely basis, City may disqualify <br />Contractor from applying for future funding. Annual program report shall also include an <br />expenditure report and the total number of direct beneficiaries with demographic <br />information regarding income, household composition, ethnicity, age and other data as <br />required by City and shall be submitted on forms provided by City’s Human Services <br />Coordinator. In the event that the Contractor has not expended all of the funds granted, <br />Contractor shall return by check to the City the amount not spent. <br />7. FINANCIAL STATEMENT/ANALYSIS; AUDIT. Contractor shall make available to <br />City, or the public, upon request, a financial statement and analysis (“Financial <br />Statement”) setting forth in detail the manner in which, and the specific purposes for <br />which, the funds paid hereunder were expended to the date of such accounting. In <br />addition to the foregoing, and in any event, Contractor shall submit to City no later than <br />July 31, 2025, a copy of the Contractor’s or Program’s Financial Statement. Said <br />statement will be submitted with the annual report pursuant to Section 6. <br />Contractor will provide City with an annual independent audit of its activities and finances, <br />conducted in accordance with generally accepted auditing standards covering financial <br />and compliance audits and in accordance with any federal or state auditing standards <br />applicable to Contractor, including, without limitation, the Single Audit Act of 1984 and 2 <br />CFR Part 215, 2 CFR Part 215, and 2 CFR Part 230. Audits shall be submitted to the City <br />with the annual report pursuant to Section 6. <br />8. TERMINATION. Either party may terminate this Agreement without cause at any <br />time during the term hereof by giving the other party not less than thirty (30) days’ prior <br />written notice of such termination. In the event of such termination, Contractor will submit <br />a final report for any expenditure incurred prior to the date of termination. Contractor shall <br />submit to City a final report of activities funded hereunder within thirty (30) days from the <br />date of termination. Contractor shall also return to City any and all unexpended funds as <br />of the date of termination, within thirty (30) days from the date of termination. <br />Nothing contained in this Section 8 shall be deemed to limit the right of the Parties to <br />terminate this Agreement for cause or otherwise to exercise any right or pursue any <br />remedy which may accrue to them. <br />9. CITY AUDIT; MONITORING. City may audit the records and accounts of <br />Contractor for the purpose of verifying expenditures by Contractor of funds provided by <br />ATTY/AGR.2024.161/Samaritan House (Samaritan House Free Clinic of Redwood City) (Page 2 of 10)
