REV: 04-03-25 VR AMENDMENT NO. 1 TO AGREEMENT FOR SERVICES EBSCO Information Services, LLC This Amendment No. 1 (the “Amendment No. 1”) is entered into and effective as of ______________, 2025, by and between the City of Redwood City, a charter city and municipal corporation of the State of California (“City”), and EBSCO Information Services, LLC, a Delaware limited liability company (“Consultant”) (collectively, the “Parties”). RECITALS A. The Parties previously executed that certain Agreement for Services EBSCO Information Services, LLC, dated as of May 18, 2023, (the “Original Agreement”) (the Original Agreement and this Amendment No. 1 are collectively known as the “Agreement”). B. The Parties have negotiated and agreed to the terms and conditions set forth in this Amendment No. 1. NOW, THEREFORE, in consideration of these recitals and the mutual covenants contained herein, the Parties agree as follows: 1. City will pay Consultant an additional not-to-exceed amount of Thirteen Thousand, Five Hundred Dollars ($13,500) for the completion of all the services described in Exhibit “A” of the Original Agreement, which sum will include all costs or expenses incurred by Consultant. Including this Amendment No.1, the total amount payable under the Agreement for the initial term will be a not-to-exceed amount of Forty-Nine Thousand Five Dollars ($49,500) and a total not-to-exceed amount of One Hundred and Fifteen Thousand, Five Hundred Dollars ($115,500) should extensions be approved in accordance with Section 3 of the Original Agreement as modified by Section 2 of this Amendment No. 1. 2. The term of the Agreement may be extended in accordance with Section 3 of the Original Agreement. However, should the City Manager opt to amend the Original Agreement for additional two-year periods, such an extension would be in an amount not to exceed Thirty-Three Thousand Dollars ($33,000) per extension term. 3. All other provisions of the Agreement will remain in full force and effect. 4. All requisite insurance policies to be maintained by Consultant pursuant to the Agreement will include coverage for this Amendment No.1. 5. The individuals executing this Amendment No.1 and the instruments referenced in it on behalf of Consultant each represent and warrant that they have the legal power, right and actual authority to bind Consultant to the terms and conditions of this Amendment No.1.
